These Terms & Conditions explain the terms governing purchases made directly from spoologic.com and use of our website as described below. Please review them together with the applicable product information and policies before placing an order.
1. About These Terms
These Terms and Conditions govern purchases made directly through spoologic.com and your use of the website where you have agreed to these Terms. The website is operated by Spoologic LLC, a Nevada limited liability company, referred to as “Spoologic,” “we,” “us,” or “our.” “You” means the customer or website user, including a business on whose behalf an authorized representative acts.
Please review these Terms before ordering. By affirmatively accepting these Terms during checkout, account registration, or another process that clearly requests your agreement, you agree to be bound by them. You must be at least 18 years old and legally capable of entering into a contract. If you act for a business, you represent that you have authority to bind that business. If you do not agree, do not place an order or complete a process requiring acceptance.
2. Related Policies and Product Terms
Review our Return Policy and Warranty Policy, together with the shipping provisions below and the disclosures shown at checkout, before purchasing. The versions made available when you order form part of the purchase agreement, together with the applicable product description, selected options, and checkout disclosures. Our Privacy Policy explains our personal information practices.
Product-specific terms govern the subjects they expressly address. The Return Policy and Warranty Policy govern their respective subjects over a conflicting general provision in these Terms. Specific shipping commitments disclosed for your order govern over general shipping estimates. A separate written agreement signed by you and Spoologic governs to the extent it expressly changes these terms for your transaction. No general disclaimer overrides an express product warranty or a specific commitment forming part of your purchase agreement. Applicable rights that cannot lawfully be waived take priority over every provision.
3. Accounts and Customer Information
Provide accurate contact, billing, shipping, and application information, and keep your account details current. Protect your login credentials and notify us promptly if you suspect unauthorized access. Do not use another person's account or payment method without authorization.
We may restrict account access or decline transactions for suspected fraud, unlawful activity, a material breach of these Terms, or a security threat. Any action will be subject to applicable law and will not eliminate obligations we already owe you, including required refunds or warranty remedies.
4. Product Information and Fitment
Read the complete product description before ordering. Confirm the vehicle, engine, production date, turbocharger identification, and other specifications required for your application. A model year or vehicle selector result alone may not establish compatibility. Early- and late-production configurations, pickup and chassis cab applications, previous modifications, and replacement turbochargers may require additional verification.
Part numbers and original equipment references identify applications or cross-references. They do not establish that an item is an original equipment product unless the listing expressly identifies it that way. Installation hardware and accessories are included only as described in the listing. Images may show application or finish variations; the selected configuration and written description identify the item ordered. Material differences in a delivered product remain subject to your contractual and legal remedies.
Contact us before ordering if information appears inconsistent or your application is uncertain. Your responsibility to provide accurate information and review fitment does not excuse an inaccurate description, an incorrect shipment, or an express compatibility representation on which you are legally entitled to rely.
5. Installation and Safe Use
Turbochargers and related components require correct diagnosis, installation, and maintenance. Have the work performed by a person with the training, tools, and experience needed for the particular repair. Follow the applicable product instructions and vehicle service procedures, including lubrication, priming, cleanliness, torque, calibration, and supporting-component requirements where applicable.
Identify and correct the cause of the original failure before installing a replacement. Stop installation if the product appears damaged or incompatible. If a fault develops during use, discontinue operation when safe to do so and obtain a qualified evaluation to avoid additional damage.
Technical articles, application guides, and general support information supplement the relevant service procedures; they do not replace an inspection of the vehicle. Performance results depend on the vehicle's condition, configuration, operating conditions, and supporting equipment. We do not promise a particular result except where an express representation forms part of the purchase agreement.
Damage caused by improper installation, contamination, inadequate lubrication, misuse, or other excluded causes is evaluated under the applicable warranty. Use of an independent repairer or another brand's parts does not, by itself, eliminate warranty coverage or statutory rights.
6. Emissions and Regulatory Compliance
Products must be purchased, installed, and used in accordance with applicable emissions, vehicle safety, and other laws. These Terms do not authorize removal, disabling, or defeat of required emissions controls, or any other unlawful modification.
Physical fitment and legal eligibility are separate questions. Where an exemption or approval is required, it must cover the specific product and application. Do not assume that a product is approved for every state, vehicle, or use because it is displayed on this website. Labels such as “performance,” “off-road,” or “competition use” do not, by themselves, create a legal exemption.
Review the product's stated restrictions and any applicable approval information before ordering. Contact us if its status for your intended application is unclear. We may restrict destinations or decline a sale when required by law. These provisions do not transfer Spoologic's own manufacturing, advertising, sale, or disclosure obligations to the customer.
7. Prices, Taxes, and Payment
Prices are stated in U.S. dollars unless expressly identified otherwise. The order total, including applicable taxes and shipping charges collected by us, is shown before submission. Available payment methods appear at checkout. By submitting an order, you authorize the charge of the disclosed amount to a payment method you are authorized to use.
Price changes apply to future orders. We will not increase an existing order's agreed price or substitute a materially different product without your agreement. We may correct listing or pricing errors and, where legally permitted, decline or cancel an affected order. We will notify you and promptly refund amounts collected for an order we cancel, including applicable taxes and shipping charges. Nothing in this section permits misleading pricing or cancellation contrary to law.
Discounts and promotions are subject to the conditions disclosed with the offer. Payment authorization and fraud checks may be required. A pending authorization may temporarily reduce available funds; release timing depends on the payment provider. Refunds and disputes remain subject to applicable law and any rights you have through your payment provider.
8. Order Submission and Acceptance
Submitting an order is an offer to purchase the products listed in that order. We accept your order when you receive our order confirmation email confirming the products and agreed price. If we ship merchandise before sending that confirmation, shipment constitutes acceptance of the merchandise shipped. A payment authorization alone does not establish acceptance. Payment processing and the authorization or collection of funds are subject to the information disclosed at checkout.
Before acceptance, we may decline an order for a legitimate reason, including unavailability, a material listing error, inability to verify payment, or a legal restriction. After acceptance, any cancellation is subject to this agreement and applicable law. If we decline or cancel an order for which payment has been collected, we will promptly refund the affected amount. Order acceptance timing does not postpone our legal obligations concerning shipment notices, cancellation, or refunds.
9. Changes and Cancellations
Contact info@spoologic.com promptly if you need to change or cancel an order. We will advise whether the request can be completed. Once fulfillment has progressed, an address change or cancellation may no longer be possible. Products already shipped are handled under the Return Policy, subject to any additional rights required by law.
Special cancellation restrictions or charges for a custom or special-order item apply only when clearly disclosed before purchase and legally enforceable. A restocking fee for a standard return does not automatically apply to cancellation of an unshipped order. No cancellation charge applies when we cancel an order or when the law requires cancellation and a full refund.
10. Shipping and Delays
Shipping destinations, available methods, and charges are disclosed at checkout. Any destination restrictions or conditions for a shipping promotion will be disclosed with the offer or before you submit your order. Carrier transit estimates differ from the time needed to prepare an order for shipment. A delivery date is an estimate unless expressly offered as a guarantee.
We will ship within the time represented when you order. If no shipping time is stated, we will ship within 30 days after receiving a properly completed order, subject to applicable law. If we cannot meet the applicable shipping time, we will provide the required delay notice and cancellation option, obtain any required consent to wait, or cancel and issue a prompt refund. Acceptance of these Terms is not advance consent to an indefinite shipping delay.
Where an order is canceled because it cannot be shipped as required, refund obligations apply independently of standard return fees or exclusions. Neither a carrier estimate nor an event beyond our control eliminates those obligations.
11. Delivery and Shipment Problems
Provide a complete and accurate delivery address, including any business or unit information needed by the carrier. Contact us promptly about damage, missing contents, a wrong item, or a shipment that has not arrived. Retain available packaging, labels, photographs, and tracking information so we can investigate. Do not install a visibly damaged or incorrect product.
For shipments arranged by Spoologic, we retain the risk of physical loss or damage until delivery to the agreed address or your authorized recipient, subject to any greater protection required by law. Ownership transfers upon delivery once payment is complete. A separate signed commercial shipping agreement may provide different lawful terms.
If tracking shows delivery but you have not received the package, contact us so we can review the delivery evidence and circumstances. A delivery scan does not automatically resolve every claim. Responsibility for theft after actual delivery, customer-directed redirection, or an incorrect address depends on the facts and applicable law. Reasonable cooperation may be required, but these Terms do not make a carrier claim your exclusive remedy against Spoologic.
12. Returns, Exchanges, and Refunds
Our Return Policy describes the standard return period, packaging and condition requirements, authorization procedure, nonreturnable items, restocking fees, and shipping deductions. Review it before ordering, particularly the restrictions affecting opened turbocharger packaging and specified repair or upgrade components.
Obtain authorization and the correct destination before sending merchandise back. Sending an item without instructions may delay handling, but it does not extinguish rights that cannot legally depend on advance authorization. Standard returns, warranty claims, incorrect shipments, and shipping damage are evaluated under their applicable procedures.
“Final sale” or “nonreturnable” describes eligibility for a discretionary return or exchange. It does not eliminate a remedy required for defective, misdescribed, incorrectly supplied, or undelivered goods. Refunds required by law will be issued within the required time and without deductions the law prohibits.
13. Product Warranties and Repair Components
Eligible complete Spoologic turbochargers carry a one-year limited warranty against defects in materials and workmanship from the original purchase date, as described in the applicable product listing and Warranty Policy. Review those terms for covered products, eligibility, exclusions, proof of purchase, evaluation procedures, and available remedies. The Warranty Policy requires prepaid shipping to Spoologic for evaluation, subject to applicable law. Contact us for authorization and shipping instructions before sending a product. This section does not create the same warranty for every product on the website.
DIY repair, rebuilding, and upgrade components identified as sold without a Spoologic product warranty do not receive our voluntary one-year limited warranty. That designation does not, by itself, disclaim an implied warranty or other legal obligation. These Terms do not impose a blanket “as is” sale or a blanket disclaimer of implied warranties on products.
Warranty authorization permits evaluation and does not establish that a claim is covered. Approved claims are resolved through the repair or replacement provided by the applicable warranty, subject to any additional remedy required by law. Labor, diagnostic, removal, reinstallation, and related expenses are excluded from the voluntary warranty where the applicable warranty so provides and the exclusion is lawful.
Opening or installing an otherwise eligible product does not, by itself, prevent a warranty claim. Nothing in these Terms reduces a written product warranty, disclaims an implied warranty where prohibited, or excludes a remedy that applicable law requires.
14. Business Customers and Other Sellers
Repair shops, fleet operators, and other businesses may purchase through the website. Buying a product does not, by itself, appoint the buyer as an authorized Spoologic dealer or permit representations that the buyer acts for Spoologic. Separate dealer, wholesale, or distribution arrangements require our agreement.
If you buy a Spoologic product from another seller, that seller's terms govern its sale and standard returns. Any applicable Spoologic manufacturer warranty is governed by its own terms and is not replaced by that seller's return policy. These Terms govern direct website purchases and do not make Spoologic the seller in a separate retailer's transaction.
Any export or re-export must comply with applicable export controls, sanctions, and destination laws. Products may be ordered for delivery only to destinations we accept. Availability on the website is not a promise to ship internationally.
15. Website Use and Intellectual Property
You may access the website and retain reasonable copies of product and order information for lawful shopping, installation, maintenance, and recordkeeping. Do not interfere with website security, gain unauthorized access, introduce malicious code, impersonate another person, submit fraudulent transactions, or use the website to violate another person's rights.
Website text, photographs, graphics, logos, and other protected materials belong to Spoologic or their respective owners. Except as permitted by law or authorized in writing, you may not reproduce those materials for commercial publication or use our branding to imply an affiliation or endorsement. These restrictions do not prohibit lawful reviews, fair use, or other uses protected by law.
Purchasing merchandise transfers ownership of the physical goods under these Terms; it does not transfer ownership of associated copyrights, trademarks, or patents. Third-party vehicle and brand names are used to identify products or applications. Such references do not, by themselves, imply sponsorship or endorsement.
16. Reviews and Customer Submissions
Submit only content that you have the right to share, and do not include another person's private information without permission. Reviews should reflect genuine experience. Disclose any material connection to Spoologic, including free products or compensation, when applicable.
You retain ownership of your reviews and other submissions. For content you choose to publish on the website, you grant Spoologic a nonexclusive, royalty-free license to host, reproduce, format, and display it for that publication and related website operation. Service providers may process it on our behalf for those purposes. Separate permission is required to use private support submissions or identifiable customer photos in advertising. This section does not grant unrestricted promotional rights to private messages or warranty evidence.
We may moderate spam, unlawful content, confidential or private information, abusive content, and other material that may lawfully be removed. We will not suppress an honest review merely because it is negative or require you to surrender ownership of a review. Nothing in these Terms restricts truthful criticism, lawful complaints, or communications with regulators.
17. Privacy and Communications
Our Privacy Policy describes how Spoologic LLC collects, uses, and discloses personal information and how to exercise applicable privacy choices. Acceptance of these Terms does not replace any separate consent required for particular data practices or marketing communications.
We may send order confirmations, shipping updates, account notices, safety information, and responses to your requests using the contact details you provide. Marketing preferences are handled separately. Where the law requires consent to electronic delivery or a particular form of notice, we will follow those requirements. A general agreement to these Terms does not substitute for them.
Keep your contact information current and retain copies of your order and the terms applicable to it. Do not email full payment card details or account passwords.
18. Third-Party Services and Links
The website may link to third-party websites or offer payment and other services provided by third parties. Review their applicable terms and privacy information before using them. We do not control independent websites or guarantee their content.
Using a payment processor or another provider does not eliminate Spoologic's obligations for a sale it makes. You retain any applicable rights through your card issuer or payment provider. Contacting Spoologic is encouraged when a problem arises, but these Terms do not require you to forfeit a dispute right or miss a legal deadline.
19. Website Availability
We may maintain, update, or suspend website features. To the extent permitted by law, website access and general informational resources are provided on an “as available” basis without a guarantee of uninterrupted or error-free operation.
This website availability provision is not an “as is” disclaimer for merchandise. It does not excuse a misleading product description, reduce an express warranty, or eliminate obligations under an accepted order. The exceptions in Section 20 also apply to this section.
20. Limitations of Liability
To the extent permitted by applicable law, Spoologic will not be liable for incidental, consequential, special, or punitive damages arising from a purchase or use of a product, including lost profits, lost revenue, business interruption, or loss of vehicle use. Subject to the exceptions below, Spoologic's aggregate liability for a claim concerning a product will not exceed the amount paid to Spoologic for the affected product, including applicable taxes and shipping charges. These limitations apply regardless of the legal theory asserted, but only where enforceable.
These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, liability for death or personal injury, or any other liability that cannot lawfully be excluded or limited. They do not reduce obligations under an express warranty, required refunds, statutory damages or other remedies that cannot be waived, or rights arising when a limited remedy fails of its essential purpose.
Some jurisdictions do not allow particular exclusions or limitations. Where a restriction is not permitted, it does not apply to you. Any enforceable restriction applies only to the extent permitted; it does not eliminate other rights provided by law.
21. Disputes and Applicable Law
If a dispute arises, contact info@spoologic.com with your name, order number if applicable, the nature of the problem, and the resolution requested. We encourage a good-faith effort to resolve concerns directly. This voluntary process is not a condition for exercising legal rights, does not shorten a filing deadline, and does not prevent a complaint to a regulator or payment provider.
Applicable federal law and the state law determined under applicable choice-of-law rules govern these Terms and related disputes. A claim may be brought in a court with jurisdiction and proper venue, including an eligible small claims court. These Terms do not impose mandatory arbitration or waive the right to a jury trial or participation in a class proceeding. The parties may agree to mediation or arbitration after a dispute arises. Nonwaivable consumer protections remain in effect.
22. Events Beyond Our Control and Changes to These Terms
An event outside our reasonable control, such as a natural disaster, government restriction, or major transportation disruption, may affect performance. We will take reasonable steps to address its effects. To the extent permitted by law, affected performance may be excused for the duration and extent of the disruption. This does not excuse required shipment notices, refunds, or other obligations the law does not permit us to avoid.
We may update these Terms prospectively and will display an effective date. The version applicable when you order continues to govern that purchase. Changes do not retroactively reduce a warranty, alter an existing dispute, or remove an accrued right. For an ongoing account relationship, we will provide notice of material changes and obtain further acceptance when required. Merely posting a revision does not change an existing purchase agreement.
23. General Provisions
If a provision is found unenforceable, it will be limited or severed to the extent permitted by law, and the remaining provisions will continue unless doing so would defeat the agreement's essential purpose. A failure to enforce a provision on one occasion is not a waiver of later enforcement.
These Terms and the purchase documents identified in Section 2 form the agreement concerning the direct website transaction. They do not exclude representations or obligations that applicable law makes part of that agreement. Provisions intended to operate after fulfillment or account closure, including payment obligations, applicable warranties, and dispute provisions, survive for their applicable duration.
Except where an applicable warranty or law provides otherwise, these Terms do not create contractual rights for unrelated third parties. They do not restrict the rights of a lawful warranty beneficiary or another person protected by law.
